1. Acceptance of Terms

By accessing and using Association Mirror ("the Service"), operated by Association Mirror ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

Association Mirror is a Software as a Service (SaaS) platform that provides workflow actions for HubSpot to automatically synchronize associations between objects. Our service includes:

  • Custom workflow actions for HubSpot
  • Association mirroring between contacts, companies, deals, tickets, and custom objects
  • Usage tracking and analytics
  • Multi-portal HubSpot support
  • Subscription management and billing through Stripe

3. User Accounts

3.1 Account Creation

To use our Service, you must create an account by providing accurate, current, and complete information including your name, email address, and company information (if applicable).

3.2 Account Security

You are responsible for safeguarding the password and for maintaining the confidentiality of your account. You agree to accept responsibility for all activities that occur under your account.

3.3 Account Termination

You may terminate your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms of Service.

4. Subscription Plans and Billing

4.1 Subscription Plans

We offer multiple subscription plans:

  • Free Plan: $0/month - 1 HubSpot portal, 25 workflow executions/month
  • Standard Plan: $25/month - Up to 3 HubSpot portals, 250 workflow executions/month
  • Premium Plan: $200/month - Up to 5 HubSpot portals, 5,000 workflow executions/month

4.2 Billing

Subscription fees are billed in advance on a monthly basis through Stripe. All fees are non-refundable except as required by law.

4.3 Usage Limits

Each plan includes a monthly limit on workflow executions. If you exceed your plan's limits, your workflows may be restricted until the next billing period or until you upgrade your plan.

4.4 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

5. HubSpot Integration

5.1 Authorization

To use our Service, you must authorize Association Mirror to access your HubSpot account(s). This integration is governed by HubSpot's Terms of Service and privacy policies.

5.2 Data Access

Our Service requires read and write access to your HubSpot objects and associations to perform the mirroring functionality. We only access data necessary to provide the Service.

5.3 HubSpot Compliance

You agree to use the Service in compliance with HubSpot's Terms of Service and acceptable use policies.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purposes or activities
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to spam, harass, or send unsolicited communications
  • Violate any applicable laws or regulations
  • Exceed usage limits through automated or excessive requests

7. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Association Mirror and its licensors. The Service is protected by copyright, trademark, and other laws.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ASSOCIATION MIRROR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

IN NO EVENT SHALL ASSOCIATION MIRROR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Association Mirror from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees).

12. Service Availability

While we strive to maintain high availability, we do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance that temporarily affects service availability.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of significant changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new terms.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

15. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction where Association Mirror operates, without regard to conflict of law provisions.

17. Severability
